稅改引殺機 台股長黑摜破年線
分析師：靜待政策釐清 短線保守為宜

【陳佩嘉╱台北報導】財政健全小組首次會議將資本利得稅列為第一優先議案，再度引發市場對復徵證所稅（證券交易所得稅）的恐慌情緒，本土法人投下不信任票，好、壞股票幾乎全面下殺，盤中一度大跌近230點，多方人士認為，政策一意孤行，就是叫大家「不用玩了」，法人指出，在證所稅疑慮未釐清前，台股恐怕還要再失血，建議投資人持保守態度。
受到證所稅復徵疑雲籠罩，台股周四一度失守前波低點7824點，不過在低檔特定買盤承接，市場傳出是政府基金進場護盤，終場雖縮小跌勢，下跌165.41點，以7872.66點作收，仍摜破年線7895點，成交值1316億元。3大法人昨賣超2.54億元，自營商、投信分別賣超14.98、8.18億元，外資買超20.62億元。
財政健全小組周三丟出資本利得稅議題，引發市場強烈反彈，從昨天台股的表現來看，法人認為，在政策方向未明朗前，短線恐怕很難止血，即使昨日尾盤明顯有特定買盤介入，法人仍認為，杯水車薪對台股止穩幫助有限。
外資逆勢買超20億
市場多方人士甚至認為，財政健全小組的成員，多是「帶刀、帶槍的財經學者」，缺乏工商界代表，政府擺明是要「蠻幹」，這等於是叫大家「不用玩了」。法人認為，為政官員有任何重大決策，都必須公開、正式、明確的表達構想，如果只是像過去丟出資本利得稅的議題，卻不明確告訴市場未來要怎麼實施，只是企圖以敷衍的方式，撫平市場情緒，台股受傷的機率很大。
元富投顧總經理劉坤錫說：「雖然台股的基本面不差，不過政策面的影響很重要，尤其台股才經過去年全球股災的衝擊，剛剛恢復『血色』，現在馬上就要『失血』。」劉坤錫建議投資人採保守姿態，若政策無法明朗，勿輕易介入市場。
華南永昌投顧董事長儲祥生說：「昨天台股下殺主要是心理因素，證所稅議題一出，恰好給了台股下殺的理由。」儲祥生認為，歐美股市表現不佳，加上台股此波遲遲無法出量，指數本來就要回檔，證所稅剛好提供回檔的好理由。
留意3月績優電子股
未來資產投信投研處協理葉泰宏說：「若政府無法釐清市場的憂慮，台股的賣壓將持續，由於不確定風險仍然存在，指數下探的壓力仍大。」葉泰宏認為，如果短線收盤跌破前低7824點，將引發進一步的賣壓，建議投資人避開高本益比、高投機性股票。
不過，葉泰宏認為，台股基本面不差，若證所稅疑慮消失，投資人可以留意3月營收成長動能強勁的電子股，包括蘋果概念、半導體、LED（Light Emitting Diode，發光二極體）等族群，仍有表現空間。

優酷併土豆市佔率35% 誰下一個被吃？

中國視頻網站巨頭優酷和土豆本星期突然宣佈合併，引起業界的高度關注。有分析人士指出，這筆交易將引發中國網路視頻市場的重新洗牌，引發更多併購。

優酷和土豆本星期早些時候宣佈將以100%換股方式合併。最近幾年，兩家公司曾因版權問題對簿公堂，而此次交易事先並無徵兆，因此很多業界人士聞詢後倍感驚訝。

根據雙方簽署的協議，優酷將發行4850萬股美國存托憑證，兌換土豆的全部股權。換股完成後，優酷將持有新公司71.5%的股份，土豆將持有28.5%的股份。合併後新公司市值將超過40億美元。

國際知名投行摩根大通星期二發表分析報告説，合併後兩家公司仍將以獨立品牌和銷售團隊進行運營，但這樁「聯姻」每年將節約5千萬至6千萬美元支出。

此外，摩根大通預計，合併後的優酷土豆內容庫存將迅速擴大，面對廣告商的議價能力也將大為提高。

中國線上視頻目前仍然處於激烈競爭的混戰狀態。除了優酷和土豆外，搜狐、百度和騰迅等10多家企業也都希望在這個市場分一杯羹。

環球時報的分析指出，中國目前視頻網站提供的內容嚴重雷同，而且面臨廣電部門在內容方面的壟斷和寬頻成本壓力，合併實際形同「抱團取暖」。

優酷本星期公佈的去年第四季度財報顯示，當季該公司虧損4960萬元人民幣，虧損額度同比攀升近三成。土豆在去年第四季度則凈虧損1億4890億元人民幣。

美國路易斯安那州立大學資訊系統管理教授陳予修預計，此次合併將引發中國網路視頻市場的進一步整合，導致更多小型視頻網站被收購和兼併。

陳予修認為，短期內，這種變化將有利於網路視頻市場的調整和優化，但長期來看，市場份額過度集中可能會形成壟斷局面。

他説：「現在在中國的情況之下，我們是希望看到一個比較公平的環境，目前這個市場是比較混亂的。那麼到底會怎麼樣，這次合併算是一個試探吧。 一個基本的原則是，企業太大的話，而沒有必要的監管能力，這也不是很好的現象。」

業界估計，合併後的優酷土豆在中國的市場佔有率將達到35%。

優酷在美國紐約證交所上市，土豆在納斯達克上市。合併後的公司將以「優酷土豆」的名稱出現。有分析人士説，此次交易實際上是優酷以大約每股40美元的價格吞併了土豆。

這筆交易公佈後，優酷股價本週早些時候曾一度飆升，但在星期三齣現大幅度回落，跌幅一度接近10%。有市場分析認為，這反應出投資人擔心優酷收購土豆的成本過於高昂。
